Acceptance of Terms

By accessing or using the spaniswkyf platform and services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any part of these terms, you may not use our services.

These terms constitute a legally binding agreement between you and spaniswkyf B.V., a company registered in the Netherlands under company number 53491827, with registered address at Molenweg 203, 5083 TU Tilburg, North Brabant, Netherlands.

Service Description

spaniswkyf provides e-commerce platform services including but not limited to:

• E-commerce platform management and hosting
• Payment processing and transaction management
• Order fulfillment and logistics coordination
• Customer support and technical assistance
• Analytics and reporting tools
• Security and compliance management

User Obligations and Responsibilities

When using spaniswkyf services, you agree to:

• Provide accurate, complete, and current information
• Maintain the confidentiality of your account credentials
• Use the services only for lawful purposes and in accordance with these terms
• Comply with all applicable laws, regulations, and industry standards
• Not engage in fraudulent, deceptive, or harmful activities
• Respect the intellectual property rights of spaniswkyf and third parties
• Not attempt to gain unauthorised access to our systems or services
• Report any security vulnerabilities or suspected misuse promptly

Intellectual Property

The spaniswkyf platform, including its software, design, content, trademarks, logos, and other intellectual property, is owned by spaniswkyf B.V. and is protected by Dutch and international copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable licence to use our services for your business purposes in accordance with these terms. You may not:

• Copy, modify, or create derivative works of our platform or content
• Reverse engineer, decompile, or disassemble our software
• Use our trademarks, logos, or brand elements without written permission
• Remove or alter any copyright, trademark, or other proprietary notices
• Sublicense, sell, or distribute access to our services

Payment Terms and Billing

Payment terms for spaniswkyf services will be specified in your service agreement or invoice. You agree to pay all charges incurred under your account in accordance with the agreed terms.

• All prices are quoted in Euros (EUR) unless otherwise specified
• VAT will be added to invoices where applicable
• Payment is due within 30 days of invoice date unless otherwise agreed
• Late payment may result in service suspension and additional charges
• You are responsible for any bank charges or transaction fees

Privacy and Data Protection

Your privacy is important to us. Our collection, use, and protection of your personal data is governed by our Privacy Policy, which forms part of these terms. By using our services, you consent to the processing of your data as described in our Privacy Policy.

spaniswkyf complies with the General Data Protection Regulation (GDPR) and Dutch data protection laws in our handling of personal data.

Service Availability and Support

spaniswkyf strives to maintain high service availability and performance. However, we do not guarantee uninterrupted service and may experience downtime for maintenance, updates, or unforeseen technical issues.

Limitation of Liability

To the maximum extent permitted by Dutch law, spaniswkyf B.V. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses.

Our total liability for any claims arising out of or relating to these terms or our services shall not exceed the amount paid by you to spaniswkyf in the twelve months preceding the claim.

This limitation of liability does not apply to:

• Death or personal injury caused by our negligence
• Fraud or fraudulent misrepresentation
• Breach of statutory consumer rights that cannot be excluded
• Other liabilities that cannot be limited under applicable law

Indemnification

You agree to indemnify and hold harmless spaniswkyf B.V., its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising out of:

• Your use of our services in violation of these terms
• Your violation of any applicable laws or regulations
• Your infringement of any third-party rights
• Any content or data you provide through our services
• Your negligent or wilful misconduct

Termination

Either party may terminate this agreement with 30 days' written notice. spaniswkyf may terminate your access immediately if you breach these terms or engage in prohibited activities.

Upon termination:

• Your right to use our services will cease immediately
• You remain liable for all charges incurred before termination
• We may delete your account and data in accordance with our retention policies
• Provisions that should survive termination will remain in effect

Force Majeure

spaniswkyf shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labour disputes, government actions, or internet service provider failures.

Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the Netherlands. Any disputes arising out of or relating to these terms shall be subject to the exclusive jurisdiction of the competent courts in Tilburg, North Brabant, Netherlands.

If you are a consumer resident in the European Union, you may also bring proceedings in the courts of your country of residence, and nothing in these terms affects your statutory consumer rights.

Severability

If any provision of these terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced with a valid provision that most closely reflects the intent of the original provision.

Changes to These Terms

spaniswkyf reserves the right to modify these Terms of Service at any time. We will notify you of material changes by email or through our platform. Your continued use of our services after such notification constitutes acceptance of the modified terms.

If you do not agree to the modified terms, you should discontinue use of our services and terminate your account.

Entire Agreement

These Terms of Service, together with our Privacy Policy and any additional service agreements, constitute the entire agreement between you and spaniswkyf regarding your use of our services and supersede all prior agreements and understandings.
